Important Notice

By using NoteIQ, you agree to these Terms of Service. If you are using NoteIQ on behalf of a healthcare organization, you represent that you have authority to bind that organization to these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of NoteIQ's healthcare documentation platform, including all software, services, and features (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

NoteIQ provides healthcare documentation software designed for medical professionals to create, manage, and store clinical notes, including SOAP notes, treatment plans, and patient records.

The Service includes AI-assisted documentation features, template libraries, offline sync capabilities, and integration with practice management systems.

3. Account Registration and Eligibility

3.1 Eligibility

  • You must be at least 18 years old
  • You must be a licensed healthcare professional or authorized staff member
  • You must provide accurate and complete registration information
  • You must maintain the security of your account credentials

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains current and accurate

4. Acceptable Use

4.1 Permitted Uses

You may use the Service solely for:

  • Creating and managing clinical documentation
  • Providing healthcare services to patients
  • Complying with healthcare documentation requirements
  • Training and education within your organization

4.2 Prohibited Uses

You may NOT use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Create fraudulent or misleading documentation
  • Share your account access with unauthorized individuals
  • Attempt to gain unauthorized access to the Service or other users' data
  • Reverse engineer, decompile, or disassemble the software
  • Use automated systems to access the Service without permission
  • Upload malware, viruses, or harmful code
  • Use the Service for any purpose other than healthcare documentation

5. HIPAA Compliance and BAA

5.1 Business Associate Agreement

If you are a covered entity under HIPAA, a Business Associate Agreement (BAA) is incorporated into these Terms by reference. The BAA governs how we handle Protected Health Information (PHI) on your behalf.

5.2 Your HIPAA Obligations

You are responsible for:

  • Ensuring your use of the Service complies with HIPAA
  • Obtaining necessary patient consents and authorizations
  • Implementing appropriate safeguards in your practice
  • Training your staff on HIPAA compliance

6. Fees and Payment

6.1 Subscription Plans

NoteIQ offers various subscription plans with different features and pricing. Current pricing is available at noteiq.pro/pricing.

6.2 Payment Terms

  • Fees are charged monthly or annually based on your selected plan
  • Payments are processed through secure third-party payment processors
  • You authorize us to charge your payment method for recurring fees
  • All fees are non-refundable except as required by law

6.3 Free Trials

We may offer free trial periods. If you do not cancel before the trial ends, you will be automatically charged for the selected subscription plan.

7. Intellectual Property

7.1 Our Rights

NoteIQ and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content. These Terms do not grant you any intellectual property rights except the limited right to use the Service as described.

7.2 Your Content

You retain ownership of all clinical notes and data you create using the Service. You grant us a limited license to store, process, and transmit your content solely to provide the Service to you.

8. Data Backup and Availability

8.1 Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

8.2 Data Backup

We perform regular automated backups of your data. However, you remain responsible for maintaining independent backups of critical information.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment method fails
  • We are required to do so by law
  • We discontinue the Service (with 30 days notice)

9.3 Data Export

Upon termination, you have 30 days to export your data. After this period, we may delete your account and associated data in accordance with our data retention policies.

10. Disclaimers and Limitations of Liability

10.1 Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. NOTEIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Medical Disclaimer

NoteIQ is a documentation tool, not a substitute for professional medical judgment. You are solely responsible for all clinical decisions and the accuracy of documentation.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless NoteIQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

If you do not agree to modified Terms, you must stop using the Service and cancel your account.

13. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which NoteIQ is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration, except where prohibited by law.
